Please read these terms of use carefully. By using the site, you accept the terms of use and agree to comply with them. If you don't accept them, you must not use the site.

Description of Service

Unsignedinc.com is a platform, it is not a financial institution, merchant, creditor, charity, advisor or broker of any kind. Unsigned Inc is designed to allow a Creator (see below definition) to register and customise a page such as www.unsignedinc.com/PageName. Creators can customise the page with images, text and video and use the page to facilitate the acceptance of monetary Donations (“Donations”), the sale of commissions (“Commissions”), products (the “Unsignedinc Marketplace”), Memberships (“Memberships”) and other forms of Creator content which shall be collectively referred to as “Creator Content”. Supporters are able to follow, donate, purchase or subscribe to receive Creator Content.

Put Simply
We develop a community for Creators to sell Creator Content, receive messages and Donations from Supporters.

By accessing this platform, you are agreeing to be bound by these terms of use and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site. The materials contained in this platform are protected by applicable copyright and trademark law.

We may amend these terms from time to time. Every time you wish to use our site, please check these terms to ensure you understand the terms that apply at that time. These terms were last updated in August 2022. We may also update and change our site from time to time to reflect changes to subscriptions, Memberships, different features, our users' needs, changes in the law, regulatory requirements and our business priorities. We will try to give you reasonable notice of any major changes.

Further, Unsigned Inc does not warrant or make any representations concerning the accuracy, likely results, or reliability of the materials on its website or the contents of any sites linked to this site. Unsigned Inc does not accept responsibility for the accuracy or correctness of user-generated content. Unsigned Inc does not explicitly or implicitly condone or support any message or claim made by any of its users.

Unsigned Inc is a listing platform only and doesn't guarantee or endorse any Creator Content. Any disputes, errors, revision requests or other such communication regarding Creator Content, Donations or Memberships should be made directly to the Creator. Unsigned Inc is not responsible for refunds or managing disputes resulting from any such transactions. All transactions relating to Creator Content, including without limitation, Commissions, Products, Donations, Memberships or any other form of purchase are with the relevant Creator only. Creators are listed as third-party sellers identified on the Unsigned Inc platform, which facilitates third party sales and transactions. Unsigned Inc does not identify itself as the seller of any goods or services as aforesaid, and buyers shall have no recourse against Unsigned Inc for any purchases of the same.

By agreeing to these Terms of Service, you confirm that you are at least 13 years old.

To be registered as a User of this site - as a Supporter or Creator - and be able to receive payouts and pay for subscriptions, you must be at least 18 years old or have your parent’s written permission sent to us prior or during the registration process and to be approved by us.

You may not use our Service for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

Roles

While signing up with the platform, you will have to choose between two roles - “Supporter” or “Creator”.

Supporter role is for those who want to just get access to somebody else’s content by pledging monthly subscription fees.

Creator role will better suit the content creators, whose goal is to publish original content and collect pledges made by Supporters via Subscriptions and Tips. Creators can subscribe to other Creators without changing the role.

Both roles may choose to provide us or each other with the shipping address and e-mail in case a physical delivery should be made.

Registering with Unsigned Inc

To use unsignedinc.com you must first register and create a User account through the mobile app or website (unsignedinc.com). You must provide a valid email address, a username, and a password or authenticate using a valid Facebook, Google or Apple account. Your password should be unique (meaning that it is different to those you use for other websites) and must comply with the technical requirements of the Unsigned Inc site for the composition of passwords.

1. Your commitments to us: When you register with and use Unsigned Inc., you make the following commitments to us:

a. If you previously had an account with Unsigned Inc., you confirm that your old account was not terminated or suspended by us because you violated any of our terms or policies.

b. You will make sure that all information which you submit to us is truthful, accurate and complete.

c. You will update promptly any of your information you have submitted to us as and when it changes.

d. You consent to receiving communications from us electronically, including by emails and messages posted to your Unsigned Inc. account, and to the processing of your personal data as more fully detailed in our Privacy Policy.

You will keep your account/login details confidential and secure, including your user details, passwords and any other piece of information that forms part of our security procedures, and you will not disclose these to anyone else. You will contact support@unsignedinc.com promptly if you believe someone has used or is using your account without your permission or if your account has been subject to any other breach of security. You also agree to ensure that you log out of your account at the end of each session, and to be particularly careful when accessing your account from a public or shared computer so that others are not able to access, view or record your password or other personal information.

You are responsible for all activity on your account even if, contrary to the Terms of Service, someone else uses your account.

You will comply in full with these Terms of Use for all Users, our Acceptable Use Policy and all other parts of the Terms of Service which apply to your use of Unsigned Inc..

Upon termination of your account, we may deal with your Content in any appropriate manner in accordance with our Privacy Policy (including by deleting it) and you will no longer be entitled to access your Content. There is no technical facility on Unsigned Inc. for you to be able to access your Content following termination of your account.

We can investigate any suspected or alleged misuse, abuse, or unlawful use of Unsigned Inc. and cooperate with law enforcement agencies in such investigation.

We can disclose any information or records in our possession or control about your use of Unsigned Inc. to law enforcement agencies in connection with any law enforcement investigation of any suspected or alleged illegal activity, or in response to a court order.

We can change the third-party payment providers that we use and if we do so, we will notify you and store applicable details on your Unsigned Inc. account.

Other than Content (which is owned by or licensed to Creators), all rights in and to Unsigned Inc. and its entire contents, features, databases, source code and functionality, are owned by us and/or our licensors. Such material is protected by copyright, and may be protected by trademark, trade secret, and other intellectual property laws.

We are the sole and exclusive owners of any and all anonymised data relating to your use of Unsigned Inc. and such anonymised data can be used by us for any purpose, including for commercial, development and research purposes.

You agree that you have no obligation to follow any suggestions, comments, reviews or instructions received from another User of Unsigned Inc. and that if you choose to do so, you do so entirely at your own risk.

We make no promises or guarantees of any kind that Creators or Referring Users will make a particular sum of money (or any money) from their use of Unsigned Inc. (including the Unsigned Inc. Referral Program).

General: You agree that:

If any aspect of your agreement with us is unenforceable, the rest will remain in effect.

If we fail to enforce any aspect of your agreement with us, it will not be a waiver;

We reserve all rights not expressly granted to you.

No implied licenses or other rights are granted to you in relation to any part of Unsigned Inc., save as expressly set out in the Terms of Service.

Your agreement with us does not give rights to any third parties

You cannot transfer your rights or obligations under your agreement with us without our prior written consent.

Our rights and obligations under your agreement with us can be assigned or transferred by us to others. For example, this could occur if our ownership changes (as in a merger, acquisition, or sale of assets) or by law. In addition, we may choose to delegate performance of any of our obligations under your agreement with us to any third party, but we will remain responsible to you for the performance of such obligations.

The Terms of Service form the entire agreement between us and you regarding your access to and use of Unsigned Inc., and supersede any and all prior oral or written understandings or agreements between us and you.

Terms relating to disputes – the law which applies to your agreement with us and where disputes and claims concerning Unsigned Inc. (including those arising from or relating to your agreement with us) can be brought with the jurisdiction of the United Kingdom.

Acceptable Use for Creators

A Creator is defined as someone who registers a Unsigned Inc page or uses the Unsigned Inc platform in any way to solicit Donations, messages, post content and sell Creator Content or Memberships. As a Creator you are solely responsible for all text, images, videos, links and other content that you create, upload, post, publish or display using Unsigned Inc.

As a Creator, whenever you make use of a feature that allows you to upload content to our site, or to make contact with other users of our site, you warrant that you have the necessary authorisation to provide this information. You will be liable to us and indemnify us for any breach of that warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.

Any content you upload to our website will be considered non-confidential and non-proprietary. You retain all of your ownership rights in your content but you grant us and other users of our site a limited licence to use, store and copy that content and to distribute and make it available to third parties. We may use this content to improve our site and our business without liability to you.

You also grant us the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to our site constitutes a violation of their intellectual property rights, or of their right to privacy.

We have the right to check and remove any content or posting you make on our site if, in our opinion, this is reasonably necessary to protect our business.

As a Creator you agree to become a data controller, personally responsible for the lawful processing of any information provided to you on Unsigned Inc, for example, email addresses of followers or names and addresses of purchasers of goods or services you sell on Unsigned Inc. You will only use information about Supporters (including but not limited to donors, followers, buyers, Supporters) to communicate with Supporters in relation to their interactions with you on Unsigned Inc and in a lawful manner. You must provide Supporters with a way to withdraw their consent for the processing of their information, delete their data from your records and observe all legal requirements for the processing of personal information made available to you by Unsigned Inc.

To register a ‘Creator’ account you must be a minimum of 18 years of age.

You are prohibited from using the Unsigned Inc platform, service or page in connection with any of the following;

Any activity that violates any law or governmental regulation industry requirements or money laundering regulation.
Anything prohibited by the payment providers connected to the platform such as PayPal Inc and Stripe. For the avoidance of doubt the acceptable use and prohibited activities can be found at

Content including but not limited to;
Adult or sexually explicit content including but not limited to:
• Pornography, nudity and any other obscene content;
• Literature, imagery (including illustrative), videos, links to external sites or content containing such material; and
• Sexual services such as prostitution, escorts, pay-per view, adult live chat features;
• Content including links to and from the platform which is fraudulent, misleading, inaccurate or dishonest;
• Violent or excessively gory content; and
• Hate speech, intimidation or abuse of any kind targeting any individual, group or institution.
Abuse of any kind targeting any individual, group or institution;
Activity purposefully designed to harm the Creator in any way including financial harm with tactics such as chargebacks or fraudulent disputes;
Transactions for the sale of items or goods or services with the purpose of avoiding paying taxes;
Products or services that directly infringe or facilitate infringement upon the trademark, patent, copyright, trade secrets, or proprietary or privacy rights of any third party;
Raffles, lotteries, giveaways or games of chance where a fee is paid to enter and winners are selected at random;
Any other activity that Unsignedinc may deem in its sole discretion to be unacceptable.

In Summary
Do not use Unsignedinc.com for Illegal or Adult content.
Only use Unsignedinc.com in legal, genuine and positive ways.

Supporter Specific Terms

A Supporter is defined as any person or entity providing payments, Donations or messages to a Creator page or Commissioning a Creator. Unsigned Inc does not guarantee that any Creator page, goal, post, message or content of any kind is legitimate, accurate, truthful or lawful. It is always the responsibility of the Supporter to determine if they wish to support a Creator and they should only do so after seeking the appropriate financial, legal, tax or other professional advice where appropriate.

To register as a ‘Supporter’ or use the Unsigned Inc platform in any way you must be a minimum of 18 years of age or over 13yrs of age with expressed consent to use the platform from a parent or guardian.

Some activities such as supporter messages are (by default) public and may be used by Unsigned Inc across the internal platform or other external websites, social media pages or other entities. Personal details may be shared by the Payments provider between the buyer and the seller depending upon the type of account held with the Payments provider. Find out more here

We have the right to check and remove any content or posting you make on our site if, in our opinion, this is reasonably necessary to protect our business.

Unsigned Inc will not investigate or be held liable in any way for Donations given in error, refund requests or monetary disputes of any kind between the Creator and the Supporter.

Creator Content

Creators can accept Commissions, solicit Donations and sell Products, Memberships or any other form of Creator Content (subject to applicable fees).

The contractual relationship entered into for any transaction in relation to Creator Content, Donations or Memberships shall be directly between the Creator and the Supporter or buyer. The Creator is responsible for supplying the relevant buyer with its own appropriate terms and conditions relating to any such sales of the Creator Content.

Unsigned Inc will not be a party to any agreements, discussions, disputes, demands or otherwise in relation to sales of Creator Content or Memberships or in relation to any solicited Donation, and will not be held responsible for any returns, damages, claims or loss arising from them.

We are not responsible for the payment or distribution of rights of any posts by creators. Any rights are forfeited for any content posted on Unsigned Inc sites. This does not affect the payment rights that may be earned for your creator content on other platforms.

In Summary
Unsigned Inc is not a party to any transactions in relation to Creator Content, Donations, Memberships or any other type of good or service.

We are not responsible if information (i.e. content) made available by the Creators on this site is not accurate, incomplete, or not current.

Our Service doesn't guarantee that the quality of the content provided by the content creators or its frequency will satisfy any subscriber or fulfill any expectations, no matter how high or how low they are.

The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or timelier sources of information. Any reliance on the material on this site is at your own risk.

We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site. The User agrees that it is his/her responsibility to monitor changes to our site.

Prohibited Content

We may, but have no obligation, to monitor, edit or remove content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, inappropriate, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.

Any posts, comments, narrations, news or discussion materials that include - in any shape or form - hatred toward any social or ethnic group, calls for violence or oppression, racial or gender defamation, and/or targets a person or a group by disability, nationality (including citizenship), race, religion, sexual orientation, or skin color will not be published on our Platform. Such materials - upon discovery - will be removed from the Platform, and the profile/account will be suspended with possible future termination.

Creating, promoting and supporting a Creator profile/account for the sole purpose of portraying a single person, group or organization in a negative way, degrading their existent or imaginable values, and/or diminishing their presence, ideas, beliefs, appearance, expression and/or actions in any way is strictly forbidden on this platform.

You may not use a false e-mail address, name/nickname, or brand, or pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any content on this Platform.

You may not post content that infringes on others' intellectual property.

You may not post content whose purpose is advertising, selling or reselling any goods, items, or materials that do not directly derive from the description of profile itself or from its Subscription Tiers.

You may not post content whose only purpose is to cover social mass events such as marches, demonstrations, gatherings, protests, and other spontaneous or planned, legal or illegal mass actions.Creator

Relationships between Creators, Supporters and the Service

PAYMENTS' DISPUTES
Service provides recourse to cardholders in the event of a dispute concerning payments. Service assumes all liability concerning the payment processing, including maintaining compliance with tax laws and taking steps to prevent fraud. All inquires concerning payments should be submitted to support@subscribeCreator.com.

OTHER DISPUTES
We do not mediate or arbitrate relationships between Supporters and Creators, nor do we interfere in any controversy that may derive from such relationships.

In case that requires both parties involvement (i.e. Supporters and Creators) either should initiate contact with the opponent/proponent by any possible means, avoiding any involvement from our side. If such involvement is unavoidable, we reserve the right to proceed on whatever timeline and with whatever proposition we decide.

In case when you, as a Subscriber or a Creator having issues or concerns in regards to provided Services, we encourage you to contact us directly prior to initiating any related discussion online elsewhere.

By agreeing to these Terms you are waiving your right to trial by jury or to participate in a class action or representative proceeding. We, as a Company and as a Service, are also waiving these rights.

Payments

Unsigned Inc is not a payments provider. Payments are made directly from Supporters to Creators externally to Unsigned Inc using a third party payment provider (e.g. Stripe, Inc., Apple pay or Google pay).

By using Unsigned Inc you are agreeing to be bound by the terms of any third party payment providers associated with the Platform and they will be responsible for all matters relating to payment and use of your card details.

Payment providers may display the personal details of your payments account depending upon your account type. You should consult the payment provider directly and prior to using Unsigned Inc should you have any questions or concerns about the information displayed when making a payment.

Currency: Payments via the payment provider are in U.S. dollars unless the payment provider permits you to choose another currency and you do so.

In Summary
Unsigned Inc facilitates transactions but is not a payments provider. You will be bound by third party provider terms too.

Unsubscribing

The Supporter can cancel subscription (i.e. unsubscribe) at any time.

Upon unsubscribing from the Creator, the Supporter will lose access to the subscribed materials.

We do not provide any refund whatsoever for those who unsubscribed, no matter how quick that unsubscribing has happened.

Upon subscribing again to the same profile - no matter how short the period of time was between unsubscribing and re-subscription - the Supporter will be charged full price for the new subscription according to the subscription price set on the profile.

Fees

We reserve the right to change our fees and charge additional fees in the future for any type of transaction. We shall charge fees in relation to applicable subscriptions and transactions, as listed from time to time on our site. Notwithstanding the foregoing, you agree that Unsigned Inc does not identify itself as the seller of Creator Content, Memberships or any other goods or services, and that Unsigned Inc is not a party to any Donation solicited by a Creator. You agree that any purchases or Donations you make on our site are with Creators, who act as third-party sellers identified on the Unsigned Inc platform.

Creators may be required to pay fees for subscriptions – you will be notified of the subscription fees at the time of entering into your subscription. Please note that the type of subscription you choose may impact your transaction fees. Depending on subscription or type of transaction, Unsigned Inc may not take any fees, subject to us reserving the right to charge additional fees in the future for any type of subscription, transaction, purchase or donation.

For other types of subscription, transaction or any other Unsigned Inc feature, we may charge fees. All applicable transaction fees in relation to Creator Content, Donations, Memberships or any other goods or services, shall automatically be deducted from the relevant transaction by one of our third-party payment providers.

In Summary

We may charge fees for any Unsigned Inc feature. All fees will be as advertised on our site from time to time and/or as specified for each Unsigned Inc feature.

Payment Processing Fees of 2.9% + $0.3 (3.5% + $0.3) will be applied to each transaction (i.e. Subscription, Tip) made toward a creators account. This amount will automatically be deducted from the creators payout.

Subscription and support payments made via the app using Apple pay and Google Pay will be subject to the Apple App store and Google Play store levy which in some instances can be up to 30% of the total payment price set. In these instances the creator will still be subject to the payment processing fee and platform fee and can result in a significant reduction in payment received. We encourage all creators to promote subscription payments through the website in order to maximise potential income.

Payouts

General Statements

Payout is a process of sending funds collected on the creators account to a chosen by this User financial instrument or institution (e.g. bank)

The payout can be issued exclusively to a person or organization that is the User who initially registered the account with the Service and who conducts the actual content publishing activities within the Platform. This payout location is set within the verification process on registration when the creator will be onboarded to stripe connect which will hold all secure payment information and control payout. If insufficient information is provided to Stripe payouts may be stopped until this issue is resolved.

If we deem the information in our possession is insufficient for payout purposes, we may request additional identification or proof of substance from the payee. Such documents may include Driver's License, State ID, National or International Passport, Citizenship, or National ID Card for individuals. And for the organization, the Articles of Incorporation, Certificate of Organization, or any other similar company formation documents may be requested.

A User must meet the following criteria to be eligible for payouts: Active profile (consistently deliver content or service to subscribers)
Acceptable level of requested refunds (your subscribers shouldn’t have a trend of requesting refunds)
Acceptable level of chargebacks (not going over 1% of total transactions with initiated chargebacks)
Submitted and verified Taxpayer Forms (W-9, W-8BEN, or W-8BEN-E, whichever applicable)
Verified identity if requested (verification depends on a country of residence)
The payout information is filled out in full and verified
A selected Payout Vendor can serve the User in their country of residence
The User doesn’t violate the Payout Vendor’s terms of their service
A selected Payout Vendor can provide the service of sending funds from the Service’s account

Modifications to the Service and Prices

We shall not be liable to you or to any third-party for any modification, price change, suspension, or discontinuance of the Service.

Prices for our services (i.e. Service Fee) are subject to change without notice.

We reserve the right to modify or discontinue the Service (or any part or content thereof) without notice at any time.

Personal and Sensitive Information

Credit card information and other sensitive information is always encrypted during transfer over networks and is never stored within the Platform.

Your submission of personal information through the Service is governed by our Privacy Policy. Please, make yourself familiar with our Privacy Policy

Taxes

It is your responsibility to determine what, if any, taxes apply to the Donations, Subscriptions and Sales you receive through your use of the services. It is solely your responsibility to assess, collect, report or remit the correct tax, if any, to the appropriate tax authority.

If you are located in the EU, then VAT must be included within the final amount of subscription payment set. The exact amount of VAT is determined by the country you are resident of.
The creator is solely responsible for collecting and paying out VAT in their respective country of residence however we retain the right to act as administrator of VAT collection and payment on behalf of the creator. Any change in collection/payment of VAT liabilities will be clearly explained to creator.

In Summary
Taxes are your responsibility, we don't collect or pay taxes on your behalf or give advice about tax implications of using Unsigned Inc.

Each user’s tax liabilities will vary and users are expected to conduct their own due diligence and file any and all proper tax documentation based upon income derived from this site. Each user is responsible for filing his/her own income tax report (if applicable). The Service assumes no responsibility for any individual tax liability based upon their income.

Linking to the Site and Scraping

You may not scrape content from this site and repost such content, either manually or automatically, without Unsigned Inc’s prior written consent. This site must not be framed on any other site without our prior written permission. We reserve the right to withdraw linking, scraping and framing permission without notice. If you wish to make any use of material on this website other than that set out above, please address your request to info@unsignedinc.com or messaging the “Admin Information” profile. Linking to this site should only be for the purpose of promoting a specific page as a Creator and should follow the Creator Specific Terms outlined above. Bots or other automatic means must not be used to interact with our website.

You must not upload or use another individual’s personal information without the consent or approval of that individual.

Any transaction facilitated by Unsigned Inc is paid by the Supporter to the Creator via Stripe. Unsigned Inc has no control over the information that passes to Stripe nor the communication or display of names or personal information on its website that arise from the Supporter’s payment made via Stripe. For details of how Stripe may use your personal information, you should refer to their respective privacy policies.

Unsigned Inc and Creators using Unsigned Inc process Supporters (including but not limited to followers, donors, Supporters and buyers) personal data and as such are considered separate and independent data controllers of Supporters personal data. Each party is responsible for the personal information entered on Unsigned Inc. Both Creators and Supporters acknowledge Unsigned Inc will not be held responsible for any disclosure or misuse of personal data by a Creator. By using this service Creators hereby indemnify Unsigned Inc for any expenses, damages or fines incurred as a result of your use of the personal information obtained from the use of Unsigned Inc.

In Summary
We will only use your personal data in accordance with our Privacy Policy. Creators (not Unsigned Inc) are responsible for how they use Supporters data.

INDEMNITY

You agree to indemnify, defend and hold Unsigned Inc, its officers, directors, employees, agents, shareholders, licensors, suppliers and any third party information providers to the Website, harmless from and against all claims, actions, proceedings, expenses, damages and liabilities, including attorney’s fees, which are the result of, or are in any way related to, your use of the Website or Unsigned Inc’s services, or your transactions or communications with third-party vendors initiated via the Website.

Limitation of Liability

We do not exclude or limit in any way our liability to you where it would be unlawful to do so.

If you are a Creator:

We exclude all implied conditions, warranties, representations or other terms that may apply to our site or any content on it.
We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
• use of or inability to use, our site; or
• use of or reliance on any content displayed on our site.
In particular, we will not be liable for:
• loss of profits, sales, business, or revenue;
• business interruption;
• loss of anticipated savings;
• loss of business opportunity, goodwill or reputation; or
• any indirect or consequential loss or damage.‍

If you are a Supporter:

You agree not to use our site for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

i. You acknowledge and agree that:

a. any materials, rights of publicity, performances, participation (including any chat, comment, statement, audio, image, video, element, or other communication), or other content that you provide in connection with your participation in a Watchstream or Seller Content is Intellectual Property under the Terms;

b. Seller Content will not be private and you should not share or disclose any personal, private, or sensitive information relating to you or a third party;

c. In addition to the Terms, Seller Content may not, among other things:

i. violate, infringe, or misappropriate the intellectual property, privacy, publicity, moral or “droit moral,” or other legal rights of any third party; or

ii. communicate anything that is, or that incites or encourages action that is, explicitly or implicitly: illegal, abusive, harassing, threatening, hateful, racist, derogatory, harmful to any reputation, pornographic, indecent, profane, obscene, or otherwise objectionable (including nudity);

To the extent you offer provide Seller Content that will or does include music (including a musical performance):

· you have or will secure any necessary rights, authorizations, and permissions, including the right to reproduce, publicly perform, and communicate to the public any and all sound recordings and musical works embodied in the Seller Content, royalty-free, without the obligation to pay royalties to any third party.

· in addition to the rights you grant under the Terms, you grant:

1. to Unsigned Inc an exclusive (including exclusive as to you, but excluding the license granted to any platform or media as set out below), royalty-free, fully paid, unlimited, universal, sublicensable (through multiple tiers of sublicenses), perpetual, and irrevocable license in any and all manner and media, whether now known or hereinafter invented or devised to use, publish, reproduce, record, modify, edit, and display your name, image, voice, appearance, performance, likeness, and Seller Content, including in or in connection with advertising, marketing, promoting, republishing, rebroadcasting, and re-airing; provided that Unsigned Inc will not use your Seller Content in or in connection with advertising or marketing without your consent; and

2. to any platform or media on which the Intellectual Property is stored, performed, recorded, republished, rebroadcast, re-aired, or displayed any rights necessary or required by the platform or media in order to store, perform, record, republish, rebroadcast, re-air, or display the Intellectual Property;

Unsigned Inc may record the Content and may edit or modify (for example, add music or captions, capture screenshot or excerpts, or otherwise) and Content (for example, an edited or modified version thereof) may be included in a compilation with content from or featuring others;

Unsigned Inc may monitor all Content, and Unsigned Inc retains the right, in its sole discretion, to cancel your use of the Platform; and

Unsigned Inc will not be responsible or liable for any Content on the Platform.

Bugs or Viruses

We do not guarantee that our site will be secure or free from bugs or viruses and you are solely responsible for securing and backing up your content.

You are responsible for configuring your information technology, computer programmes and platform to access our website. You should use your own virus protection software.

You must not misuse our website by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.

You may print off one copy, and may download extracts, of any page(s) from our site for your personal use and you may draw the attention of others to content posted on our site. You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

Our status (and that of any identified contributors) as the authors of content on our site must always be acknowledged.

If you print off, copy or download any part of our site in breach of these terms of use, your right to use our site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

Intellectual property rights – ownership and licenses:

You confirm that you own all intellectual property rights (examples of which are copyright and trademarks) in your Content or that you have obtained all necessary rights to your Content which are required to grant licenses in respect of your Content to us and to other Users. This includes any rights required to engage in the acts covered by sub-section 10(b) below in any territory in which Unsigned Inc. is accessible and, in particular, in the United States of America, the United Kingdom and the European Union.

You agree to grant us a license under all your Content to perform any act restricted by any intellectual property right (including copyright) in such Content, for any purpose reasonably related to the provision and operation of Unsigned Inc.. Such acts include to reproduce, make available and communicate to the public, display, perform, distribute, translate, and create adaptations or derivative works of your Content, and otherwise deal in your Content.

The license which you grant to us under sub-section 10(b) above is perpetual, non-exclusive, worldwide, royalty-free, sublicensable, assignable and transferable by us. This means that the license will continue even after your agreement with us ends and you stop using Unsigned Inc., that we do not have to pay you for the license, and that we can grant a sub-license of your Content to someone else or assign or transfer the license to someone else. This license will allow us, for example, to add stickers, text, and watermarks to your Content, to make your Content available to other Users of Unsigned Inc., as well as to use your Content for other normal operations of Unsigned Inc.. We will never sell your Content to other platforms, though we may sell or transfer any license you grant to us in the Terms of Service in the event of a sale of our company or its assets to a third party.

Whilst we do not own your Content, you grant us the limited right to submit notifications of infringement (including of copyright or trademark) on your behalf to any third-party website or service that hosts or is otherwise dealing in infringing copies of your Content without your permission. Although we are not under any obligation to do so, we may at any time submit or withdraw any such notification to any third-party website or service where we consider it appropriate to do so. However, we do not and are under no obligation to police infringements of your Content. You agree that if we request, you will provide us with all consents and other information which we reasonably need to submit notifications of infringement on your behalf.

You waive any moral rights which you may have under any applicable law to object to derogatory treatment of any Content posted by you on Unsigned Inc.. This waiver does not affect in any way your ownership of any intellectual property rights in your Content or the rights which you have to prevent your Content from being copied without your permission. The waiver is intended to allow us when dealing with your Content (as permitted by the license which you give us in section 10(b) above) to add watermarks, stickers or text to your Content.

Once your account has been deleted you won't be charged any further amounts or have access to your former Unsigned Inc. account or its Content, and any subscriptions will be deleted and cannot be subsequently renewed. You will receive an email confirmation upon the successful deletion of your account. Once your account has been deleted, we may deal with your Content in any appropriate manner in accordance with our Privacy Policy (including by deleting it) and you will no longer be entitled to access your Content. There is no technical facility on Unsigned Inc. for you to be able to access your Content following termination of your account.

Digital Millennium Copyright Act Notice: We will respond to notices of alleged copyright infringement and terminate access to our Platform for repeat infringers. If you believe that your material has been copied in a way that constitutes copyright infringement, please contact us.

The materials appearing on Unsigned Inc's platform could include technical, typographical, or photographic errors. Unsigned Inc does not warrant that any of the materials on its platform are accurate, complete, or current. Unsigned Inc may make changes to the materials contained on its platform at any time without notice. Unsigned Inc does not, however, make any commitment to update the materials.

Termination

You are required to ensure that all persons who access our website through your internet connection are aware of these terms of use and other applicable terms and conditions, and that they comply with them.

If you wish to terminate your Unsigned Inc account, you should delete your account by following the steps on this page https://Unsignedinc.com/Manage/DeleteAccount or contact admin via support@unsignedinc.com or messaging the “Admin” profile.

Creators:

Unsigned Inc may terminate or suspend any and all services and/or your Unsigned Inc Creator account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

If you have signed up to a subscription, you can find information about your cancellation rights on our site. You will need to cancel your subscription in accordance with these cancellation rights to stop your recurring payments for the relevant subscription. Merely deleting your account without cancelling your subscription will not stop these payments.

Unsigned Inc may terminate or suspend your subscription, at anytime and without liability, in the event that:

You fail to fulfil your responsibilities as a Creator or
You commit a material breach of these terms of use.

We can also terminate or suspend your subscription at any time without giving a reason. In these circumstances, we shall provide you with a refund of your subscription fees for the remainder of your subscription period.

Supporters:

Unsigned Inc may terminate or suspend any and all services and/or your Unsigned Inc Supporter account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these terms of use. The creator may also remove you from a live stream should be breach the terms of use or terms and conditions. If you are excluded from a stream which you have paid for as a result of a breach in our terms you will not be entitled to a refund or any form of compensation.

Upon termination of your account, your right to use Unsignedinc.com will immediately cease. All provisions of the terms of use shall survive termination, including, without limitation, ownership provisions, disclaimers, indemnity and limitations of liability.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, disclaimers, indemnity and limitations of liability.

In Summary
We can decide to stop providing the service to you or to everyone if we decide to.

You can delete your profile and account at any time unless you have active Supporters as a Creator.

We can terminate or suspend your account/profile at any time at our discretion. We can also cancel any pledges and remove any content at our sole discretion with or without prior warning and/or explanation. However, in absolute majority cases, we will contact you prior to the account/profile suspension/termination.

Upon account/profile termination, the following will happen:

For Supporters: all subscriptions will be canceled immediately and no refunds for ongoing subscriptions will be issued whatsoever. Supporters will retain access to the subscribed material until the end of the subscription period. In order to keep the ability to access subscriptions, Supporters will need to keep their accounts intact.

For Creators: all payouts, if any in progress or available for the request, will be put on hold for 30 calendar days. We use this time to settle all possible requests from the Supporters for the paybacks and other disputes. In case when conditions for the payout are not met (i.e. less than 5 Supporters and less than $50 collected pledges) - all pledges will not be reimbursed to the Creator whatsoever and will remain in the Service.

For both roles: all financial transactions data and previously filled out tax forms will stay in possession of the respective third parties and/or the Service, for the duration of time outlined by the aforementioned third parties’ “Terms of Service” or similar legal documents.

The reasons for account suspension or termination including, but not limited to, as follows:

Illegal Activities. This Service, as well as the company operating this Service, is governed by the laws of the United States of America. Anything that is considered “illegal” by the US law is illegal for use within our platform and will be removed/terminated.

Bullying. Any form of abuse, persecution, harassment, attacking or bullying, either directly or by using your influence over others - within this platform or outside with the use of the platform or its parts - will lead to account suspension and investigation, which may result in subsequent profile/account termination.

Doxing. It is absolutely forbidden to aggregate and publish on this Platform any private personal or sensitive information of anybody, regardless of the fact if this person is our User or not, or reveal the identity of such an individual without the explicit written consent, for the purpose of intimidating aforementioned individual through harassment.

Private Information Abuse. Any usage (e.g. sharing, storing, selling) any private information, that became available to the User via this Platform, including, but not limited to, e-mail or home addresses, personal name, and any other data that can be considered “sensitive” or “private”, is strictly prohibited.

Content Sharing. Sharing somebody else’s content, that User got access to on this Platform, outside of this Platform without explicit permission from the original content owner is strictly prohibited. While we do not intermediate between Supporters and Creators nor intentionally mediate these relationships in regards to the content, we will act upon reports of stolen, illegally shared, re-sold, or otherwise misused content originated on this Platform.

Fraud. Publishing, endorsing, or selling any fraudulent or misleading information or transmitting any digital substance or a code of a destructive nature on this Platform will lead to investigation and potential permanent termination of the account with the report to the appropriate authorities. While this Service has no intentions to follow, curate, investigate, check up on or make and extensive research on vast information published on the Platform, we will take actions in case the investigation - for one or another reason - is initiated.

Impersonation. Presenting yourself as somebody else, especially well known and famous, leads to instant and permanent termination of the account, upon discovery.

Spam. A frequent posting of meaningless content - textual or audio/video - will lead to account suspension and investigation, which may result in subsequent account termination. We reserve the right to determine the meaningfulness of the published information.

Harm to this Service. Any unfriendly, offensive, obscene, derogatory, degrading remarks, public messages, comments or posts - within this Platform or elsewhere - that aim to offend, slander or attack our good name and reputation, or otherwise bring harm to this Service, the operating Company or its staff, members or partners, will lead to instant and permanent termination of the account, most likely followed by the legal actions against the perpetrator(s).

Dangerous Activities. Any User caught in the act or convicted of making credible violent threats, committing violent crimes, child abuse, violence against animals, malicious doxing, coordinating violent or nonviolent harm, participating in civil unrest, or encouraging others to do any of these activities, may be suspended/banned from using this Service. All activities that can put viewers in danger - by action or inaction - must include a clear disclaimer that warns against repeating such stunts.

Criminal Activities. People with a proven criminal history or with a known affiliation with violent or dangerous groups (e.g. organized criminal groups, terrorist or cyber-terrorist organizations, illegal militias, mercenary organizations, violent hate groups, etc), won’t be unboarded and will be terminated upon discovery such activities, without regards to the declared purpose of the corresponding profile.

Inactivity. We reserve the right to suspend - with possible following termination - any content creator’s account/profile, that was inactive without prior notice - to us or to its Supporters - for more than 30 days. All recurring billing will be paused. All collected pledges that are subject to payout will be processed within 30 calendar days upon payout request. In case when conditions for the payout are not met - all pledges will not be reimbursed whatsoever and will remain in the Service.

Deviations. We reserve the right to suspend - with or without prior warning - any content creator’s account/profile, that displays, hosts or advertises content that is drastically deviated from the type of content approved during the onboarding process.

Call to Group Actions. It’s strictly prohibited to ask anyone on the Platform - Supporters or Creators - to request a refund, unsubscribe, leave Platform or initiate legal action against the Platform or participate in such actions.

Profile / Account Ghosting. It’s strictly prohibited to create an account/profile with the same, new, or altered credentials after an initial account/profile by this particular Creator/User was terminated, suspended, or otherwise disabled. For instance, if the profile "X" was terminated, it is prohibited to create a new profile "Y" by the same individual, organization, and/or any other associated entity.

These Terms remain in effect after your account is suspended, terminated, or otherwise disabled.

Governing Law

‍These terms of use, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. You and Unsigned Inc agree to the exclusive jurisdiction of the courts of England.

In Summary

ACCEPTABLE USE POLICY

In this Policy, defined terms have the same meanings as in our Terms of Use for all Users.

1. Do not use Unsigned Inc. except for your own personal use and do not sell, rent, transfer, or share your account or any Content obtained from your use of Unsigned Inc. to or with anyone else.

2. Only use Unsigned Inc. in a manner and for a purpose that is lawful.

3. Do not upload, post, display, or publish Content on Unsigned Inc. that is illegal, fraudulent, defamatory, hateful, discriminatory, threatening or harassing, or which encourages or promotes violence or any illegal activity.

4. Do not use Unsigned Inc. in any way which may exploit, harm, or attempt to exploit or harm any individual under 18 years old, for example by exposing them to inappropriate Content.

a. contains, promotes, advertises or refers to hate speech (being Content intended to vilify, humiliate, dehumanize, exclude, attack, threaten, or incite hatred, fear of, or violence against, a group or individual based on race, ethnicity, national origin, immigration status, caste, religion, sex, gender identity or expression, sexual orientation, age, disability, serious disease, veteran status, or any other protected characteristic);

b. contains or refers to anyone else's personal data or private or confidential information (for example, telephone numbers, location information (including street addresses and GPS coordinates), names, identity documents, email addresses, log-in credentials for Unsigned Inc. including passwords and security questions, financial information including bank account and credit card details, biometric data, and medical records) without that person's express written consent;

c. causes or is calculated to cause inconvenience, or anxiety to anyone else or which is likely to upset, embarrass, or cause serious offence to anyone else;

d. is used or is intended to be used to extract money or another benefit from anyone else in exchange for removal of the Content; and/or

e. involves or promotes third party commercial activities or sales, such as contests, sweepstakes and other sales promotions, product placements, advertising, or job posting or employment ads without our prior express consent.

5. Do not use Unsigned Inc. to stalk, bully, abuse, harass, threaten or intimidate anyone else.

6. Do not use Unsigned Inc. to engage in misleading or deceptive conduct, or conduct that is likely to mislead or deceive any other User.

7. Respect the intellectual property rights of Creators, including by not recording, reproducing, sharing, communicating to the public or otherwise distributing their Content without authorization.

8. Do not do anything that violates our or someone else's rights, including intellectual property rights (examples of which are copyright, trademarks, confidential information, and goodwill), personality rights, unfair competition, privacy, and data protection rights.

9. Do not impersonate us, one of our employees, another User, or any other person or company or falsely state or suggest any affiliation, endorsement, sponsorship between you and us or any other person or company.

10. Do not provide false account registration information or make unauthorized use of anyone else's information or Content.

11. Do not post or cause to be posted any Content which is spam, which has the intention or effect of artificially increasing any Creator's views or interactions, or which is otherwise inauthentic, repetitive, misleading or low quality.

12. Do not transmit, stream, or otherwise send any pre-recorded audio or video material during a live stream or otherwise attempt to pass off recorded material as a live stream.

13. Do not use other media or methods (for example the use of codewords or signals) to communicate anything which violates this Policy.

14. Do not reproduce, print, distribute, attempt to download, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any Content, except as permitted under the Terms of Service.

15. Do not knowingly introduce any viruses, trojans, worms, logic bombs or other material into Content which is or may be malicious or technologically harmful.

16. Do not decompile, disassemble, reverse engineer, or otherwise attempt to discover or derive the source code of Unsigned Inc

17. Do not use Unsigned Inc. in a way that could adversely affect our systems or security or interfere with any other User’s use of Unsigned Inc., including their ability to engage in real time activities through Unsigned Inc

18. Do not use any automated program, tool or process (such as web crawlers, robots, bots spiders, and automated scripts) to access Unsigned Inc. or any server, network or system associated with Unsigned Inc., or to extract, scrape, collect, harvest or gather Content or information from Unsigned Inc

19. Do not use Unsigned Inc.' name, logo or any related or similar names, logos, product and service names, designs, or slogans other than in the limited ways which are expressly permitted in the Terms of Service or with our prior written agreement.

Breaches of this Policy may lead to your account being suspended or terminated, and access to your earnings being revoked, as set out in the Terms of Service.

COMPLAINTS POLICY

1. Introduction: This document set out our complaints policy. If you are a User of Unsigned Inc., this Complaints Policy forms part of your agreement with us.

2. Who we are and how to contact us: Unsigned Inc. is operated by Unsigned Inc and The Unsigned Club limited (a limited company registered in England and Wales, with company registration number 13529986).

3. Interpretation: In this Complaints Policy, defined terms have the same meanings given to them in the term and conditions:

5. How to make a complaint: If you have a complaint about Unsigned Inc. (including any complaint about Content appearing on Unsigned Inc. or the conduct of a User), please send your complaint to support@unsignedinc.com including your name, address, contact details, a description of your complaint and, if your complaint relates to Content, the URL for the Content to which your complaint relates. Complaints can also be made via the report a creator function and through messaging the “Admin” profile on the platform.

6. How we will deal with your complaint: Following receipt of your complaint under section 5 above:

a. we will take such steps as we consider to be appropriate to investigate your complaint within a timescale which is appropriate to the nature of your complaint;

b. if we require further information or documents from you, we will contact you to let you know;

c. we will in good faith take such actions as we consider appropriate to deal with the issue which your complaint has raised. If you have complained about Content which appears on Unsigned Inc. and we are satisfied that the Content is unlawful or otherwise breaches our Acceptable Use Policy, we will act quickly to remove such Content.

We are not obligated to inform you of the outcome of your complaint.

7. Unjustified or abusive complaints: If you are a User of Unsigned Inc., you warrant (which means you make a legally enforceable promise) that you will not make any complaint under this Complaints Policy which is wholly unjustified, abusive, or made in bad faith. If we determine that you have breached this warranty, we may suspend or terminate your User account.

PLATFORM TO BUSINESS REGULATION TERMS

1. Introduction: These Platform to Business Regulation Terms form part of the Terms of Service.

2. Interpretation: In these Platform to Business Regulation Terms, unless otherwise stated, defined terms have the same meanings given to them in the Terms of Use for all Users.

3. Do these Platform to Business Regulation Terms apply to me? These Platform to Business Regulation Terms only apply to Creators who are established or resident in the European Union or the United Kingdom (also referred to as "you" and "your"). If these Platform to Business Regulation Terms apply to you, they form part of your agreement with us.

4. What do these Platform to Business Regulation Terms include? These Platform to Business Regulation Terms provide information about our practices to comply with the fairness and transparency requirements set out in EU Regulation 2019/1150 (the "Platform to Business Regulation").

5. Promoting Creators via other distribution channels: We may choose to promote you via our Instagram (www.instagram.com/Unsignedinc.) and Twitter (www.twitter.com/Unsigned_inc.) social media accounts.

6. Ranking on Unsigned Inc.: We randomly suggest potential Creators for a User to follow based on the Creators that have earned money on Unsigned Inc. in the previous 30 days. We have no ranking system. There is no search/discovery feature on Unsigned Inc

7. Complaints: If you have a complaint about:

a. any alleged non-compliance by us with any obligations laid down in the Platform to Business Regulation which affect you; or

b. technological issues relating directly to Unsigned Inc. and which affect you; or

c. measures taken by us or our conduct which relate directly to Unsigned Inc. and which affect you, then please submit your complaint to support@unsigned.inc.com.

8. Complaint-handling process: Following receipt of your complaint under section 7 above, we will:

a. consider your complaint and the follow-up which we may need to give to your complaint (including asking you for further information or documents) in order to adequately address the issue raised;

b. process your complaints within a reasonable time, taking into account the importance and complexity of the issue raised; and

c. communicate to you in plain and intelligible language by email or by message to your Unsigned Inc. account the outcome of the internal complaint-handling process.

9. Mediation service: If your complaint under section 7 above is not resolved to your satisfaction through our internal complaint-handling process as set out in section 8 above, then you may access the mediation service by contacting:
